Terms of Service
Effective Date: October 31, 2026
1. Who we are and these Terms
These Terms of Service ("Terms") are an agreement between you and One Spoke LLC ("One Spoke", "we", "us"). They cover the One Spoke app on iPhone, Android and the web, our fuel stations, and the text messages, emails and other services that go with them (together, the "Service").
One Spoke LLC
265 N Main St Ste D #326
Kaysville, UT 84037-1471
United States
By creating an account or using the Service, you agree to these Terms. If you use the Service for a business, you agree to them for that business, and you confirm you are allowed to. Our Privacy Policy explains how we handle information and is part of these Terms.
2. The Service
Businesses with private fleets and on-site fueling use One Spoke to control fuel pumps, track fuel, equipment, maintenance, tanks and irrigation, and manage the people who use them. Features change over time. We may change, suspend or limit parts of the Service when reasonably needed for security, the law, or to keep it running.
3. Accounts and your workers
- Give us accurate information when you sign up, and keep it up to date.
- Keep your password, fuel PIN and RFID tags safe. You are responsible for what happens under your account. Tell us promptly if you think someone has used it without permission.
- A business decides who it adds and what it records about its workers. The business is responsible for those records and for having the right to add each person, including any notice or consent the law requires. We hold and process them on the business's behalf, as the Privacy Policy describes.
- One Spoke is a service for businesses and is not meant for children under 13.
4. Subscriptions and billing
Some features need a paid or trial subscription. Subscriptions are bought and managed on the web, and payments are handled by Stripe. Prices and plan details are shown when you subscribe. You agree to pay the fees for the plan you choose, and to keep your payment details current. One Spoke hardware is sold separately from subscriptions.
- Cancelling: you can cancel at any time from Settings > Service plan in the web app. Your subscription keeps running until the end of the period you have already paid for, and we charge nothing further.
- Refunds: we do not give refunds or credits for part of a billing period, except where the law requires it.
- Removing a station: if you remove a station part way through a billing period, the unused part is credited to your account balance. It is not refunded to your card.
- Price changes: we will email you at least 30 days before a price change. The new price applies from your next billing period.
5. When a subscription ends
You can stop your subscription at any time. This is what happens to your company's information:
- When a subscription ends, we keep the company's information for 90 days so it can come back without losing anything. We email a warning first. After 90 days we delete it.
- If a company asks us to delete its account, we delete its information within 30 days of confirming the request.
- Billing and invoice records are kept for 7 years, because tax law requires it, even after the rest of the company's information is deleted.
- Text message consent and opt-out records, and records of who accepted our Terms of Service and Privacy Policy, are kept for 7 years after the relationship ends (the company is deleted, or the phone number opts out), as evidence of those choices. Then we delete them.
- Backups: deleted information can remain in our backups until those backups expire on their normal schedule. We do not restore it from them.
- When an employer removes a worker, the worker's sign-in is disabled and their fuel PIN and RFID tag stop working. The worker's fuel history stays with the business, because it is the business's own record of its fuel.
To ask us to delete your company's account, contact support. The Privacy Policy explains the rest of how long we keep information.
6. Your information
Your business owns the records it puts into One Spoke. You give us permission to store, process and show them only as needed to run the Service for you, as the Privacy Policy describes. What we collect, who we share it with, where it is stored and your privacy rights are all set out in the Privacy Policy, not here.
7. Text messages
A business can ask for a worker to get a text after each fueling. We then send that phone one message asking the owner to reply YES. We send nothing more unless YES comes back from that phone.
- Reply YES to opt in.
- You get one message per fueling.
- Reply STOP at any time to opt out.
- Reply HELP for help, or contact support.
- Message and data rates may apply.
Carriers are not responsible for delayed or undelivered messages. A business that asks us to text its workers is responsible for having their phone numbers lawfully.
8. Stations, hardware and safety
One Spoke helps you control and record fuel, but you remain responsible for your fuel, your equipment and your site. That includes installing and using fuel stations, tanks and pumps safely and lawfully, supervising who fuels, checking what the app and stations report, and keeping your own equipment in working order.
Stations and other hardware are covered by the sales and warranty documents that come with them, not by these Terms. For the ST100 Fuel Station, that is the Limited Warranty and Liability terms in section 10 of the ST100 Fuel Management System Installation & Setup Manual. A station needs power and a working internet or cellular connection to report to the app. Do not rely on the Service as your only safety control.
Wrong fuel. Features such as fuel type checks, equipment identification and user authorization are aids only. We do not promise they will prevent the wrong fuel going into equipment, fuel going to the wrong equipment, or entry and setup mistakes. You are responsible for clearly labeling fuel types at your pumps, training the people who fuel, and setting up your pumps and equipment correctly. To the fullest extent the law allows, we are not liable for damage to vehicles, engines, equipment or fuel systems caused by wrong or incorrect fueling, whether or not the Service was used or set up to help prevent it.
9. Acceptable use
You agree not to:
- Try to get into accounts, companies, stations or systems you are not allowed to use.
- Interfere with the Service, or copy, reverse engineer or resell it, except where the law allows.
- Use the Service to break the law, or to send unlawful, abusive or unwanted messages.
You are responsible for following the laws that apply to you, including rules on text messages and marketing.
10. Third-party services
The Service relies on other companies, such as mobile carriers, payment and messaging providers and map providers. The Privacy Policy lists them. Your use of their services may also be subject to their own terms and policies.
11. Our property
The Service, the app and their content are owned by One Spoke LLC or its licensors and are protected by intellectual property laws. These Terms give you only the limited right to use the Service as we offer it.
12. Availability and disclaimers
We work to keep the Service running, but it depends on the internet, cellular networks and other companies, and it will sometimes be unavailable or wrong. The Service is provided "as is" and "as available", without warranties of any kind, to the fullest extent the law allows. We do not promise that it will be uninterrupted or error-free.
Connections. We do not guarantee that internet, cellular or cloud services, including the ones a station needs to report to the app, will work without interruption.
Records and reports. Fuel records, meter readings and reports in the Service are for information and for running your operation. Their accuracy can be affected by things outside our control, such as setup mistakes, faulty or incompatible flow meters, electrical interference, lost connections and entry errors. We do not guarantee that they are accurate or complete, and we are not responsible for financial or operating decisions made based on them.
13. Limitation of liability
To the fullest extent the law allows, One Spoke LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, such as lost crops, lost fuel, downtime, lost profits, lost data or lost goodwill, arising out of or related to your use of the Service.
To the fullest extent the law allows, our total liability for any claim about the Service is limited to the fees you paid us for the Service in the 12 months before the claim. This is separate from the hardware limit: for the ST100 Fuel Management System hardware, section 10.4 of its manual limits our total liability to the original purchase price of the hardware.
These limits do not take away protections that the law where you live says cannot be waived (see section 16).
14. Indemnity
You will defend and indemnify One Spoke LLC and its affiliates against claims arising from your use of the Service, your violation of these Terms, or your violation of the law.
15. Suspension and termination
We may suspend or end access to the Service for conduct that breaks these Terms or puts us or other users at risk. You may stop using the Service at any time. Section 5 explains what then happens to your information.
16. Governing law
These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law rules. Any dispute will be heard in the state or federal courts located in Utah, and you and we agree to those courts.
For customers in Canada and elsewhere: if the law where you live gives you consumer protections that cannot be waived by agreement, nothing in these Terms takes them away.
17. Changes to these Terms
When we change these Terms, we update the Effective Date at the top and ask you to read and accept the new version in the app before you continue.
